CHARLES A. CARROLL - Retired in 2005 as Managing Director of Kalin Associates, Inc., a member firm of the New York Stock Exchange ("NYSE"). Prior to 1990, Mr. Carroll served as a member of the NYSE representing Boettcher & Company.

EDWARD G. WEBB, JR. - He is Equity Portfolio Manager of Advanced Asset Management Advisers, Inc. From 1996 to 2002, he was President of Webb Associates, Ltd. From 1990 to 1996, he served as Managing Director for SEB/Trygg-Hansa. Prior to 1990, he had served as a Senior Vice President to a predecessor of the Company.

THOMAS B. WINMILL, ESQ. - Chief Executive Officer, President, General Counsel of the Company (see further biographical information under Management - Executives)

DOUGLAS WU - Since 1998, Mr. Wu has been a Principal of Maxwell Partners. Previously, he was a Managing Director of Rothschild Emerging Markets/Croesus Capital Management.  

The Board of Directors has adopted Corporate Governance Guidelines to promote the effective governance of the Company. These guidelines are intended to serve as a flexible framework within which the Board may conduct its business.
